HOURLY RECRUITING SERVICES AND FEE AGREEMENT
This agreement is made this XX day of XXX, 2XXX, between RNFrecruiting (“Recruiter or we”) and XXXXX (“Client”).
RNF Recruiting agrees to source and qualify candidates for your technical position on an hourly basis. Sourcing is defined as identifying the names, job titles, job functions and contact information of candidates who are believed to have the necessary skills for the position. Recruiter will also qualify candidates by initiating a dialogue with the intention of pre-screening them against the job requirements and gauging their interest level in the opportunity. Only interested candidates that have the necessary skills will be forwarded to the client. Recruiter warrants that all contact with potential candidates will be done in a professional manner.
Recruiter will email all qualified leads from sourcing to the client, specifically, XXXX XXXXXX, VP of Engineering. Email address is XXXXXXX@XXXXX.com.
Recruiter will act as a 1099 contractor and will provide client with a valid W-9 form for tax purposes. Recruiter is not eligible for any company benefits from the client.
Recruiter will invoice client on a weekly basis at a rate of $XX/hour. Recruiter will provide client with a detailed accounting of the hours spent sourcing candidates. Payment terms are Net 5 from the invoice date. With the choice of the hourly recruiting option, RNFrecruiting guarantees to place your technical position and never charge more than 15% of the candidates initial salary. This remains 5% less than the contingent recruiting option at 20%.
If RNFrecruiting finds a suitable candidate that gets hired by the client in 40 hours or less, the client agrees to pay RNFrecruiting an early completion bonus of $2500.

This agreement shall have no set term and can be terminated by either party at any time by calling or sending email. Upon termination of the contract, client will pay recruiter for any outstanding work within 5 days.
CONTINGENT (PERMANENT PLACEMENT) SEARCH AGREEMENT
This is the Agreement between RNF Recruiting (“we” or “our”) and the undersigned client (“you”) concerning the employment, placement or utilization of our employee candidates (“Candidates”).
- Direct Contact. When you have a need for my services, you will contact me directly. You agree to follow this procedure of contacting me rather than contacting any Candidate directly.
- Candidates. Upon investigating your inquiry, I will use my best efforts to locate an exceptional Candidate. I will inform you of the names and qualifications of potential Candidates. If requested by client (“you”) I will schedule interviews, conduct reference checks and assist in the negotiation of the compensation and benefits package.
- Contingency Fee. When an offer has been accepted by the successful candidate and a start date has been established, I will invoice you for services rendered. For this purpose, “Candidate” includes any individual employed (directly or indirectly) by you, for whom I have introduced, referred or provided you with any information during a one-year period before such employment. The Fee is 20% of such Candidate’s “Annual Compensation.” For this purpose, “Annual Compensation” is equal to the sum of such Candidate’s anticipated annual base salary that the Candidate can reasonably anticipate from services rendered during his or her first year of employment. You will also pay us a Fee in the event you take any action to introduce, refer or take any action that directly or indirectly results in any Candidate being employed by another employer.
- Replacement Guarantee. If RNF Recruiting receives payment of the Fee within 30 days from the date of invoice, and the employed Candidate leaves your employment during the first three months of employment, RNF Recruiting will use its best efforts to replace the position previously filled. This is a one-time replacement promise.
- Environment. You will provide each employed Candidate with a good, safe, non-hostile working environment, with proper supervision and training prior to operation of any machinery or equipment. You will comply with all Federal and State employment laws. You will indemnify me from all expenses and damages I may incur if you fail to do the above.
- Release. My duties with respect to the candidate are provided above. You hereby release me from any and all responsibility and liability for the actions or inaction of any placed employee, including, but not limited to, intentional actions (i.e. theft), gross negligent actions and negligent actions.
- Miscellaneous. This Agreement constitutes the entire agreement between us and supersedes all prior agreements, representation, and understandings. No supplement, modification, or amendment of this Agreement shall be binding unless executed in writing by both of us. In the event of a dispute between us arising out of this Agreement, either of us may seek such dispute arbitration in Salt Lake City, Utah pursuant to the rules and by the American Arbitration Association. In addition, you agree to pay attorney fees and costs in the event legal actions are necessary to collect any invoices or enforcement of this Agreement.
By executing below, you are indicating your agreement to be bound by the following provisions.
RETAINED SEARCH AGREEMENT
The fee for IT Search services performed by RNFrecruiting is 15% of the expected guaranteed first year’s compensation (including any guaranteed bonuses, i.e., sign-on bonuses). This is a retainer-based agreement that is paid in three performance-based installments.
One third of the service fee is due to commence the search. The second third is due as candidate resumes are presented to the CLIENT COMPANY and the interview process is initiated. The final, third installment is due when an offer is accepted and a start date is established between the successful candidate and the CLIENT COMPANY. Each installment is due Net fifteen from the invoice date.
This agreement may be terminated at any time and there will be a reconciliation of the balance due at that time.
The candidate is unconditionally guaranteed for the first 90 days of employment. RNFrecruiting will provide a suitable replacement in the event that within the first 90 days of employment the original candidate resigns or is terminated
